There are a number of reasons for going public with a Seycelles IBC, and there are also a number of reasons for not doing it. The main factor for doing it would of course be that if your offshore company, incorporated in the Seychelles is doing good, and your business will gradually grow, you will have the benefits of not paying any corporate taxes, as such does not exist on the Seychelles.

The bad thing would be that your Seychelles company is not required to met any criterias locally when it comes to audit reporting, your shareholder, director and secretary have no requirements either if compared to the UK PLC. This can be a potentially lethal combination that can concern your future investors as they would see your stocks as a higher risk than if it was a UK PLC. Nevertheless with higher risks comes higher returns, as such in this case where the company tax does not exist.

A Seychelles IBC may issue registered shares or bearer shares, and any of these may be designated as voting shares, non-voting shares, shares having more or less than one vote per share, shares that may be voted only on certain matters or upon the occurrence of certain events, shares that may be voted only when held by persons who meet specified requirements, no par value shares, unnumbered shares, common shares, preferred shares, redeemable shares and shares that entitle participation only in certain assets.

There are a number of things you must ensure before you want to incorporate a Seychelles IBC.  This is what we call step 1 out of 3 for going public with your company.

• A registered address in the Seychelles
• Ready made business plan
• At least 1 director
• At least 1 secretary
• At least 1 shareholder
• Bank account

The entire process takes 7 days, beside the Bank account, which can take another week to setup. The cost for setting up a Seychelles IBC with bank account and registered address is £2000. We would need original notarized passport and original utility bills for all directors, shareholders and secretary. As we have everything in place we will start working on getting the company ready for public listing.

• Prepare Form 20F and Form S-1
• Under Regulation D Rule 506 the company must spread its shares to at least 35 shareholders*
• Decide if you want to be quoted on the OTCBB or Pink Sheets (for OTCBB please expect 6 months)
• The company must obtain an audit of the company’s financial statements**
• Determine the share value
• Float the market with at least 1.500.000 shares
• Determine if you want your company shares to be traded in the USA the first 6 months (this is a lenghty process and will cost you £5.000 more)

Your company should at this stage be prepared for getting quoted on the OTCBB or the Pink Sheets and we will in step 3 introduce you to a market maker that will quote your company stock symbol. We will give you all material and contact to your broker that directly handles all share trades and give you paperwork in order to market your company. Pleasse note that your company shares will be public traded here after and your stock symbol will be visible on popular platforms such as E-Trade, Yahoo Stocks and many more.

The process is not as hard as it first seems, it is actually quite easy and we are assisting you throughout the entire registration period, and can furthermore assist you on an ongoing basis.

The cost for setting you company up through the Pink Sheets will be at £25.000 and does not include costs for incorporating a Seychelles IBC. The costs for setting your company up on OTCBB is £50.000 and does not include costs for incorporating a Seychelles IBC.
